Terms & Conditions

Pixelvise / Pixelvise Solutions Private Limited
Effective Date: 19 December 2025

These Terms and Conditions (“Terms”) constitute a binding and enforceable legal agreement between Pixelvise Solutions Private Limited and any individual, entity, client, contractor, or partner (“Client”).

Any interaction, communication, payment, proposal acceptance, or service engagement with Pixelvise or Pixelvise Solutions Private Limited constitutes full, unconditional, and irrevocable acceptance of these Terms.

SECTION 1 — LEGAL GOVERNANCE AND EXCLUSIVE JURISDICTION

  • All engagements with Pixelvise Solutions Private Limited are governed solely by the laws of India
  • Exclusive legal jurisdiction is fixed in Kolkata, West Bengal
  • No other jurisdiction, forum, or venue shall apply under any circumstance
  • Any attempt to initiate proceedings outside this jurisdiction shall be deemed a material breach of these Terms

SECTION 2 — CONFIDENTIALITY AND INTELLECTUAL PROPERTY

All materials, documentation, methodologies, systems, designs, code, workflows, communications, and intellectual assets created, shared, or disclosed by Pixelvise remain the exclusive property of Pixelvise Solutions Private Limited unless expressly transferred in writing.

Clients are strictly prohibited from:

  • Unauthorized disclosure or dissemination
  • Replication, duplication, or redistribution
  • Reverse engineering or derivative use
  • Circumventing contractual or technical safeguards

Any breach of confidentiality shall result in immediate legal action.

SECTION 3 — PAYMENT OBLIGATIONS AND FINALITY

All payments made to Pixelvise Solutions Private Limited are final, binding, and non-refundable.

Payment obligations remain enforceable irrespective of:

  • Client dissatisfaction
  • Internal disputes or third-party disagreements
  • Business performance or outcomes
  • Changes in scope requested after commencement

Failure to meet payment obligations constitutes a material breach, authorizing Pixelvise to suspend services and pursue recovery through legal channels.

SECTION 4 — STRICT NO REFUND POLICY

Pixelvise Solutions Private Limited enforces a strict no-refund policy.

Refunds shall not be issued under any circumstances unless:

  • Explicitly approved in writing by authorized Pixelvise management
  • Determined valid following internal and legal evaluation

Chargebacks, disputes, or reversal attempts will be contested using contractual documentation and legal remedies.

SECTION 5 — INDEMNIFICATION AND LIABILITY TRANSFER

The Client agrees to fully indemnify, defend, and hold harmless Pixelvise Solutions Private Limited, its directors, officers, employees, contractors, and legal representatives against all claims, losses, damages, legal proceedings, penalties, and expenses (including attorney fees) arising from:

  • Client misconduct or misrepresentation
  • Breach of agreement or non-payment
  • Third-party claims attributable to Client actions
  • False, malicious, or retaliatory claims

All legal costs incurred by Pixelvise shall be borne entirely by the Client.

SECTION 6 — ABUSE, HARASSMENT, AND DEFAMATION

Pixelvise Solutions Private Limited maintains a zero-tolerance policy toward abusive, threatening, intimidating, or defamatory conduct.

Such conduct may result in:

  • Immediate termination of engagement
  • Preservation of communications as evidence
  • Initiation of appropriate legal remedies without prior notice

SECTION 7 — BINDING COMMUNICATIONS

All written communications, including proposals, invoices, scopes of work, emails, and confirmations issued by Pixelvise Solutions Private Limited, constitute binding contractual agreements.

Verbal discussions have no legal standing unless confirmed in writing by authorized representatives of Pixelvise.

SECTION 8 — TERMINATION AND ENFORCEMENT RIGHTS

Pixelvise Solutions Private Limited reserves the right to terminate engagements, withhold deliverables, and seek legal remedies in the event of breach, misconduct, or non-compliance.

SECTION 9 — MODIFICATIONS AND CONTINUED ACCEPTANCE

Pixelvise reserves the right to modify these Terms at any time. Continued engagement with Pixelvise constitutes acceptance of any revised Terms.

FINAL LEGAL STATEMENT

Pixelvise and Pixelvise Solutions Private Limited operate under strict contractual, legal, and compliance frameworks designed to protect the Company, its personnel, and its intellectual property.

Non-compliance with these Terms will be addressed through appropriate legal processes.
